Welcome to MANUCELLA. The terms “we,” “us,” and “our” refer to MANUCELLA. We operate this website and online store (the “Services”), including all related content, features, tools, products, and services offered through the site.
Our store is hosted on Shopify, which provides the e-commerce platform that enables us to offer the Services.
These Terms of Service (the “Terms”), together with any policies referenced here (including our Privacy Policy and Return & Refund Policy), explain your rights and responsibilities when you access or use the Services.
By visiting, browsing, interacting with, or purchasing from our Services, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

To use the Services, you confirm that you are at least the age of majority in your place of residence, or that you have permission for any minor dependents to use the Services on devices you own or manage.

Placing an order constitutes an offer to purchase. We may accept or decline orders at our discretion, including for reasons such as suspected fraud, inventory constraints, pricing errors, or delivery limitations.
An order is not considered accepted until we confirm acceptance and successfully process payment. Please review your order carefully before submitting. Once processing begins, we may be unable to accommodate cancellation or modification requests.
If we cancel or materially change an order, we will attempt to notify you using the contact details provided at checkout.
Returns (if any) are governed only by our Return & Refund Policy.
You represent that purchases are for personal or household use, not for resale, commercial distribution, or export.

Prices, promotions, discounts, and product availability may change without notice. The price charged will be the price shown at the time you place your order, as reflected in your order confirmation.
Unless stated otherwise, listed prices do not include applicable taxes, shipping, handling, customs duties, or import fees.
We may offer promotions subject to separate terms. If promotional terms conflict with these Terms, the promotional terms control.
You agree to provide and maintain accurate purchase, payment, and account information. You authorize us (and our payment processors) to charge your selected payment method for your order total, including shipping and applicable taxes.
You represent that you are authorized to use the payment method provided and that your payment provider will honor the charges.

Delivery times are estimates and not guaranteed. We are not responsible for delays caused by carriers, customs, weather, peak seasons, or other events beyond our reasonable control.
Unless otherwise required by applicable law, title and risk of loss pass to you when the order is transferred to the carrier.

The Services and all related content—such as trademarks, logos, text, images, graphics, design elements, product listings, videos, and audio—are owned by MANUCELLAor our licensors and are protected by intellectual property laws.

“MANUCELLA” and related names, logos, and branding are our trademarks. “Shopify” and related marks are trademarks of Shopify. Other marks belong to their respective owners.
SECTION 7 — OPTIONAL TOOLS
We may provide access to third-party tools or integrations. We do not control these tools and provide them “as is” and “as available”, without warranties or endorsements.
Your use of optional third-party tools is at your own risk. You are responsible for reviewing and accepting the third party’s terms.
We may add or remove features and tools over time; new features are also covered by these Terms.
SECTION 8 — THIRD-PARTY LINKS
The Services may include links or embedded functionality provided by third parties. We are not responsible for third-party websites, content, or practices.
If you access third-party sites, you do so at your own risk. Any issues with third-party products or services should be directed to the third party.
SECTION 9 — RELATIONSHIP WITH SHOPIFY
Our store is hosted by Shopify, which provides the platform that enables the Services. However, purchases made through our store are transactions between you and MANUCELLA.
To the extent permitted by law, you acknowledge that Shopify is not responsible for any aspect of sales between you and us, including claims arising from products purchased through our store. You agree to release Shopify and its affiliates from claims related to your purchases and transactions with us, except where such release is prohibited by law.
SECTION 10 — PRIVACY POLICY
Our collection and use of personal information are described in our Privacy Policy. Because the Services are hosted by Shopify, Shopify may also collect and process certain information to provide and improve the platform, consistent with Shopify’s policies.
By using the Services, you acknowledge that data may be processed and stored in countries other than where you reside, depending on our service providers and platform infrastructure.

To the fullest extent permitted by law, MANUCELLA (and our affiliates, partners, officers, employees, contractors, service providers, and licensors) will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services or products purchased through the Services.
Where liability cannot be excluded, it will be limited to the maximum extent permitted by applicable law.

You agree to indemnify and hold harmless Hkunitedtrade and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers (and, where applicable, Shopify and its affiliates) from claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:
- your breach of these Terms or referenced policies
- your violation of laws or third-party rights
- your misuse of the Services
SECTION 18 — SEVERABILITY
If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the extent permissible, and the remainder will remain in full force and effect.
SECTION 19 — WAIVER; ENTIRE AGREEMENT
Failure to enforce any provision is not a waiver of that provision.
These Terms and referenced policies constitute the entire agreement between you and us regarding the Services and supersede prior agreements or communications.

You agree to submit to the jurisdiction of courts located in Hong Kong SAR, unless applicable law requires otherwise.
